Property Manager Terms of Use

These Property Manager Terms of Use (the "Listing Terms") govern your use of the property-management features of the Kuhlai real-estate platform (the "Service"), operated by Rex Real Estate ("Kuhlai", "we", "us", or "our"), accessible at kuhlai.com and any associated mobile interfaces.
These Listing Terms supplement, and are incorporated into, our Terms of Service and our Privacy Policy. Where these Listing Terms and the Terms of Service differ, these Listing Terms govern your use of the property-management features. By submitting a Property Manager registration, by activating Property Manager mode, by creating, editing, or managing a listing, or by joining an agency, you agree to be bound by these Listing Terms and the Terms of Service. If you do not agree, you must not use the property-management features.
1. Purpose and Scope
These Listing Terms apply to you if you register as a Property Manager, if you are granted Property Manager status, if you create, edit, or manage property listings (as an individual or on behalf of an agency), or if you act as an owner, administrator, or agent within an agency. They describe the standards, obligations, and safeguards that apply to listing and managing properties on the Service.
2. Definitions
"Property Manager" means a User who has been verified through individual Know Your Customer (KYC) review or who is an active member of a verified agency, and who is authorised to create, edit, and manage property listings on the Service.
"Agency" means a licensed real-estate company or organisation that has been verified by Kuhlai and whose members may list properties under the agency's storefront. Agencies have roles: Owner, Administrator, and Agent.
"Listing" means any property (including individual units within a multi-unit property) that you create, publish, update, or manage on the Service.
"Open Market" means listings created by individual Property Managers or unverified agencies. The exact property location is displayed on the map.
"Vetted Market" means listings created under a verified agency. The exact property location is hidden and only an approximate zone is displayed, to protect the agency's proprietary listing data.
"KYC" means the identity-verification process described in Section 4.
3. Becoming a Property Manager
3.1 To become a Property Manager you must be at least 18 years old and capable of forming a binding contract under the laws of Cameroon. You must hold a verified account on the Service.
3.2 Two paths. You can obtain Property Manager status in either of two independent ways:
- Individual KYC approval. You submit the identity documents described in Section 4, Kuhlai staff review them, and the review is approved.
- Agency membership. An agency of which you are an active member vouches for you being listed under its storefront. Your status then derives from your continuing active membership of that agency.
3.3 Property Manager status is not a guarantee of income, business, or tenancy. It is a permission to publish and manage listings on the Service, and it depends on your continuing to satisfy the requirements in these Listing Terms (including the Two-Factor Authentication and Push Notification requirements in Sections 5 and 6).
3.4 When you register, you confirm that the information you provide is true, complete, and current, and you agree to keep it that way. You may be required to re-verify your identity from time to time.
4. Identity Verification (KYC)
4.1 Individual KYC requires you to submit your full legal name, the role you are applying under (landlord, property owner, caretaker, or agent), a government-issued identification document (national ID card, passport, or driver's licence - front and back), and a selfie photograph holding the identification document.
4.2 You represent that all documents and information submitted during KYC are genuine, current, and belong to you, and that you are authorised to use them. Submitting fraudulent, altered, or borrowed documents is grounds for immediate termination of Property Manager status and of your account, and may be reported to law enforcement.
4.3 KYC documents are reviewed by Kuhlai staff and stored securely. They are used solely for identity verification and fraud prevention. See our Privacy Policy for details of how these documents are stored and protected.
4.4 Your individual verification belongs to you and your account. It cannot be transferred, sold, lent, or shared with any other person or entity. Listing properties on behalf of an account other than your own verification is a breach of these Listing Terms.
5. Two-Factor Authentication (Mandatory)
5.1 Property Manager accounts are required to have Two-Factor Authentication (2FA) enabled. When you become a Property Manager you must complete 2FA setup (passkey/biometric and/or authenticator app), and you may be asked to complete a step-up challenge when signing in.
5.2 You must maintain at least one working 2FA method for as long as Property Manager status is active. You must not share your 2FA codes, backup codes, passkeys, or OTP codes with any third party.
5.3 Kuhlai may suspend Property Manager features if 2FA cannot be enforced on the account, and must be notified immediately if you believe a 2FA factor or backup code has been compromised.
6. Push Notifications (Mandatory)
6.1 Push notifications are mandatory for Property Managers. Kuhlai delivers approval decisions for applications, new inquiries, replies, and urgent listing-related messages by push notification. You must maintain at least one active push subscription on the Service.
6.2 If you disable or remove all push subscriptions (via profile settings, your device, or a dead subscription), you will temporarily lose Property Manager status until at least one subscription is re-established. Listings you manage will not be affected during this temporary demotion, but you will not be able to use Property Manager features until push is restored.
6.3 You are responsible for responding to inquiries about your listings in a reasonable time. Active push notifications are how we help you stay responsive; failure to maintain them is not a defence to slow or missed responses.
7. Authority to List
7.1 By submitting a Property Manager registration and by creating any listing, you confirm that you are authorised to list the relevant properties: you are the owner of the property, you have been explicitly authorised by the owner to list it, or you hold a valid agency or property-management agreement granting you the right to market it.
7.2 Listing a property without authority is a breach of these Listing Terms and may be reported to the property owner and to law enforcement. You are solely responsible for the consequences of any unauthorised listing.
7.3 If you are a caretaker or agent, you must have the owner's mandate before listing their property, and you must be able to produce evidence of that mandate if Kuhlai asks for it.
8. Listing Accuracy and Responsibilities
8.1 Accuracy. You must ensure that every listing is truthful, accurate, and not misleading, including price, property type, number of rooms, availability, photographs, and descriptions. Kuhlai does not independently verify listing accuracy and is not responsible for discrepancies between listings and actual properties.
8.2 Contact details. You must provide accurate contact telephone and WhatsApp numbers for each listing and keep them current. You are responsible for responding to or forwarding contact from prospective tenants and buyers.
8.3 Photos and media. You must own or have the right to use all photos, videos, and documents uploaded to a listing. Photos must show the actual property advertised. Kuhlai may remove media that appears to infringe third-party rights or misrepresent the property.
8.4 Multi-unit properties. A single listing may contain multiple rentable or sellable units. Each unit may have its own price, photos, and description, and you are responsible for the accuracy of each unit's data, including its availability.
8.5 Location data. You must provide accurate location coordinates for each listing. You acknowledge that exact coordinates trigger Open Market display rules (Section 9) and understand the difference between Open Market and Vetted Market handling of your location data.
8.6 Maintenance. You must keep listings current, including marking properties as rented, sold, or unavailable so that prospective tenants and buyers are not misled.
9. Market Types and Location Privacy
9.1 Open Market. In the Open Market, a property's exact GPS coordinates are displayed on the map to help prospective tenants and buyers locate it. By listing on the Open Market, you acknowledge that the property's location is publicly visible.
9.2 Vetted Market. Listings under a verified agency appear in the Vetted Market. The exact property location is never shown to Users; a map pin is placed at the nearest zone centre, approximately 3.5 km from the true location. You acknowledge that Vetted Market listings display only an approximate location.
9.3 You must not attempt to circumvent the location obfuscation features of the Vetted Market, and must not disclose another Manager's exact property coordinates that were provided in confidence through the Service.
10. Agency Membership and Roles
10.1 Agencies are companies or organisations verified by Kuhlai. Membership is granted by the agency through the Service and creates an active membership link that can support or revoke a member's Property Manager status.
10.2 Roles. Agencies have an Owner, Administrators, and Agents. Owners and Administrators may manage the team (add and remove members) and may oversee, edit, or remove listings belonging to any agent of the agency. At least one Owner must remain; the last Owner of an agency cannot be removed through the Service.
10.3 When you add a member to an agency you confirm that they are genuinely part of the agency and authorised to be listed under its storefront. Adding persons without authority is a breach of these Listing Terms.
10.4 If your membership is removed or made inactive, any Property Manager status derived from that agency ends, and agency-owned listings you managed may be reassigned or managed by the agency's Owners or Administrators.
10.5 You must not list properties under an agency's storefront, or claim membership of an agency, unless you are actually a member of that agency.
11. Share Links
11.1 The Service lets you generate public, revocable share links for your listings. Anyone with a share link can view the listing's photos, price, description, and contact options without logging in.
11.2 Share links use random, unguessable tokens, but anyone who obtains a link can view the listing. You are responsible for controlling who receives your share links and for revoking them when marketing ends.
11.3 Kuhlai tracks view and contact-click statistics for share links to help you measure interest in your listings.
12. Inquiries and Communications
12.1 The inquiry feature allows prospective tenants and buyers to send you their name, phone number, and message. By listing a property, you consent to receiving such inquiries and agree to handle them professionally and in accordance with these Listing Terms.
12.2 You must not use inquiries, messaging, or contact details obtained through the Service to send spam, unsolicited commercial offers, or harassing messages, and you must not share a prospective tenant's or buyer's details outside the transaction without their consent.
12.3 Kuhlai is not a party to any transaction or dispute between you and a tenant or buyer, including viewings, leases, rentals, deposits, or sales. Kuhlai may access message content to resolve disputes, investigate violations, or improve the Service.
13. Fees and Payments
13.1 Becoming a Property Manager and publishing listings are currently free of charge. Kuhlai does not charge commissions or fees on rental or sale transactions completed through the platform.
13.2 Kuhlai reserves the right to introduce fees for certain features in the future. Any changes to the fee structure will be communicated in advance and will not apply retroactively to existing listings or transactions.
13.3 You must not use the Service to collect undisclosed fees, deposits, or payments that the prospective tenant or buyer has not agreed to in writing, and you must not request or accept payment that is unlawful under Cameroonian law (including non-refundable "viewing fees" demanded before any viewing occurs, unless the tenant has agreed in advance in writing).
14. Prohibited Conduct
As a Property Manager, you agree not to:
- Create listings for properties you are not authorised to list.
- Post false, misleading, duplicated, or fraudulent listings or reviews.
- Impersonate a property owner, an agency, or another user (including listing under another person's identity).
- Demand fees, deposits, or payments that are undisclosed or unlawful, or that the tenant or buyer has not agreed to in writing.
- Copy, scrape, or disclose another agency's Vetted Market listing data or exact property locations obtained in confidence.
- Harass, threaten, or defraud prospective tenants, buyers, or other users.
- Use automated tools (bots, scrapers) to access or collect data from the Service, except for publicly available search-engine indexing.
- Upload malware, viruses, or any code of a destructive nature.
- Circumvent any security feature, rate limit, 2FA, or access control of the Service.
- Share, sell, or transfer your verified Property Manager status, KYC identity, or account to another person.
- Use the Service for any unlawful purpose or in violation of applicable Cameroonian law.
15. Suspension, Demotion, and Termination
15.1 The following will cause you to lose Property Manager status (a "demotion") until the cause is resolved:
- Removal or disabling of all push subscriptions (Section 6.2).
- Loss of an active 2FA method (Section 5.3).
- Removal from, or deactivation of, your agency membership, if that membership was the source of your status (Section 10.4).
15.2 Kuhlai may suspend or terminate your Property Manager status, your listings, or your account if we reasonably believe you have violated these Listing Terms, the Terms of Service, or applicable law, or if your KYC documents are rejected or revoked. Where reasonably possible we will notify you before or promptly after taking action.
15.3 You may stop being a Property Manager at any time by turning off Property Manager mode in your profile. Turning it off does not delete your listings; your listings remain unless you delete them or deactivate your account.
15.4 Upon termination of your Property Manager status, your right to use the property-management features ceases. Kuhlai may retain certain data as required by law or for legitimate business purposes (fraud prevention, dispute resolution).
16. Platform Status and Limitation of Liability
16.1 Kuhlai is an intermediary platform. We do not own, manage, or control any property listed on the Service, and we do not guarantee the quality, safety, or legality of any property, the truthfulness of any listing, or the conduct of any user.
16.2 Kuhlai does not verify tenancy history, credit worthiness, or the payment behaviour of prospective tenants or buyers. You are responsible for performing your own due diligence before entering into any agreement.
16.3 To the fullest extent permitted by law, Kuhlai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the property-management features.
16.4 In no event shall Kuhlai's total liability to you exceed the amount you have paid to Kuhlai in the twelve (12) months preceding the claim, or CFA 10,000, whichever is greater.
17. Indemnification
You agree to indemnify and hold harmless Kuhlai, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the property-management features, your listings, your violation of these Listing Terms, or your violation of any rights of a third party (including property owners, tenants, and buyers).
18. Governing Law and Dispute Resolution
18.1 These Listing Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-law principles, consistent with the Terms of Service.
18.2 Any dispute arising from or relating to these Listing Terms or your use of the property-management features shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of Douala, Cameroon.
19. Changes to These Listing Terms
Kuhlai reserves the right to modify these Listing Terms at any time. When changes are made, the "Last updated" date at the top of this page will be revised. Material changes will be communicated through the Service or by email (if you have provided one). Your continued use of the property-management features after the effective date of any changes constitutes acceptance of the updated Listing Terms.
