These Terms of Service ("Terms") govern your access to and use of the Kuhlai real-estate platform (the "Service"), operated by Rex Real Estate ("Kuhlai", "we", "us", or "our"). The Service is accessible via our progressive web application at kuhlai.com and any associated mobile interfaces.

By creating an account, browsing listings, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

"User" means any individual who accesses the Service, whether or not they have created an account.

"Property Manager" means a User who has been verified (through individual KYC or agency membership) and is authorised to create, edit, and manage property listings on the platform.

"Agency" means a licensed real-estate company or organisation that has been verified by Kuhlai and whose members may list properties under the agency's storefront.

"Open Market" means listings created by individual Property Managers or unverified agencies. The exact property location is shown on the map.

"Vetted Market" means listings created under a verified agency. The exact property location is hidden; only an approximate zone is shown to protect the agency's proprietary listing data.

"Content" means all text, photos, videos, documents, and other materials uploaded or submitted by Users through the Service.

2. Eligibility

The Service is available to individuals who are at least 18 years of age and capable of forming a binding contract under the laws of Cameroon. By using the Service, you represent and warrant that you meet these requirements.

You must provide a valid phone number to create an account. Your phone number is verified via a one-time password (OTP) sent by SMS. One account is permitted per phone number.

3. Account Registration and Security

3.1 You are responsible for maintaining the confidentiality of your account. You must not share your account credentials, OTP codes, or biometric passkeys with any third party.

3.2 You are responsible for all activity that occurs under your account, including any property listings, messages, and financial transactions initiated through it.

3.3 You must notify us immediately if you become aware of any unauthorised use of your account or any other security breach.

3.4 Kuhlai reserves the right to suspend or terminate accounts that are found to be used in violation of these Terms, or that are otherwise engaged in fraudulent, harmful, or illegal activity.

4. Property Listings

4.1 Accuracy. Property Managers must ensure that all listings are truthful, accurate, and not misleading. This includes, but is not limited to: pricing, property type, number of rooms, availability, photographs, and property descriptions. Kuhlai does not independently verify listing accuracy and is not responsible for discrepancies between listings and actual properties.

4.2 Ownership and Authority. By creating a listing, you represent that you are the owner of the property, have been authorised by the owner to list it, or hold a valid agency agreement granting you the right to market the property.

4.3 Compliance. All listings must comply with applicable Cameroonian law, including zoning regulations, tenancy laws, and building safety standards. Listings must not promote illegal activities or properties involved in ongoing legal disputes that would affect a prospective tenant or buyer.

4.4 Photos and Media. You must own or have the right to use all photos, videos, and documents uploaded to a listing. Kuhlai may remove Content that appears to infringe third-party intellectual-property rights upon receiving a valid notice.

4.5 Removal. Kuhlai reserves the right to remove or disable any listing at its discretion, including listings that violate these Terms, receive repeated complaints, or appear fraudulent. Property Managers will be notified of removal where reasonably possible.

4.6 Multi-Unit Properties. A single property listing may contain multiple rentable or sellable units. Each unit may have its own price, photos, and description. The Property Manager is responsible for ensuring the accuracy of each unit's data.

5. Market Types and Location Privacy

5.1 Open Market. In the Open Market, the property's exact GPS coordinates are displayed on the map to help prospective tenants and buyers locate the property. Property Managers who list on the Open Market understand that the property's location is publicly visible.

5.2 Vetted Market. In the Vetted Market, listings are displayed under an agency's storefront. The exact property location is never shown to Users; instead, a map pin is placed at the nearest zone centre (approximately 3.5 km from the true location). This location obfuscation protects the agency's proprietary listing data. Property Managers who list through a verified agency acknowledge that the location will be approximated.

6. Inquiries and Communications

6.1 The Service provides a messaging feature that allows Users to communicate with Property Managers about listings. By sending an inquiry, you consent to the Property Manager receiving your name, phone number, and message content.

6.2 You must not use the messaging feature to send spam, unsolicited commercial offers, harassing messages, or any Content that is defamatory, obscene, or otherwise unlawful.

6.3 Kuhlai may access message content for the purpose of resolving disputes, investigating reported violations, or improving the Service, but is not obligated to monitor all communications.

6.4 Kuhlai is not a party to any agreement, transaction, or dispute that arises between Users through the messaging feature or otherwise. You interact with other Users at your own risk.

7. Payments and Fees

7.1 Browsing listings, creating accounts, and sending inquiries are currently free of charge. Kuhlai does not charge commissions or fees on rental or sale transactions completed through the platform.

7.2 Kuhlai reserves the right to introduce fees for certain features in the future. Any changes to the fee structure will be communicated in advance and will not apply retroactively to existing listings or transactions.

8. KYC and Verification

8.1 To list properties, you must complete a Know Your Customer (KYC) verification. This requires submitting your full name, a government-issued identification document (national ID, passport, or driver's licence), and a selfie photograph. For agency verification, business registration documents, tax clearance, and representative identification are also required.

8.2 You represent that all documents and information submitted during KYC are genuine, current, and belong to you. Submitting fraudulent documents is grounds for immediate account termination and may be reported to law enforcement.

8.3 KYC documents are reviewed by Kuhlai staff and stored securely. They are used solely for identity verification and fraud prevention. See our Privacy Policy for details on how these documents are stored and protected.

9. User-Generated Content

9.1 You retain ownership of all Content you upload to the Service. By uploading Content, you grant Kuhlai a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that Content in connection with operating and promoting the Service.

9.2 This licence terminates when you delete your Content or your account, except where Content has been shared with other Users (e.g. through inquiry messages or share links) and cannot reasonably be retrieved.

9.3 You must not upload Content that is illegal, obscene, defamatory, infringing of intellectual-property rights, or otherwise objectionable. Kuhlai reserves the right to remove such Content without notice.

10. Share Links

10.1 The Service allows Property Managers to generate public share links for their listings. Anyone with a share link can view the listing's photos, price, and description without logging in.

10.2 Share links use random, unguessable tokens. However, anyone who obtains the link can view the listing. Property Managers are responsible for controlling who receives their share links.

10.3 Share links can be revoked at any time by the Property Manager. View counts and contact-click statistics are tracked for each share link.

11. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Post false, misleading, or fraudulent listings or reviews.
• Impersonate another person, property owner, or agency.
• Harass, threaten, or intimidate other Users.
• Attempt to access other Users' accounts without authorisation.
• Use automated tools (bots, scrapers) to access or collect data from the Service, except for publicly available search-engine indexing.
• Interfere with or disrupt the Service, servers, or networks.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Upload malware, viruses, or any code of a destructive nature.
• Circumvent any security feature, rate limit, or access control of the Service.
• Use the Service to send unsolicited communications (spam).
• Scrape, harvest, or aggregate User data for any purpose not directly related to the Service.

12. Intellectual Property

12.1 The Service, including its design, code, graphics, logos, and trademarks, is the intellectual property of Rex Real Estate and is protected by applicable copyright, trademark, and other intellectual-property laws.

12.2 You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

13. Third-Party Services

The Service integrates with third-party services including SMS delivery providers (MTN Cameroon, Orange Cameroon, Twilio), mapping services (Google Maps, OpenStreetMap), email delivery (Resend), and AI assistants. Your use of these features may be subject to the respective third party's terms. Kuhlai is not responsible for the availability, accuracy, or practices of third-party services.

14. Limitation of Liability

14.1 To the fullest extent permitted by law, Kuhlai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

14.2 Kuhlai is an intermediary platform. We do not own, manage, or control any property listed on the Service. We do not guarantee the quality, safety, or legality of any property, the truthfulness of any listing, or the conduct of any User.

14.3 You agree to hold Kuhlai harmless from any claims, losses, or damages arising from your interactions with other Users, including but not limited to property viewings, lease agreements, rental payments, or disputes over listing accuracy.

14.4 In no event shall Kuhlai's total liability to you exceed the amount you have paid to Kuhlai in the twelve (12) months preceding the claim, or CFA 10,000, whichever is greater.

15. Indemnification

You agree to indemnify and hold harmless Kuhlai, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

16. Account Termination

16.1 By you. You may delete your account at any time through the account settings page. Account deletion is permanent and irreversible. All your data, including listings, messages, saved properties, and uploaded documents, will be permanently deleted and cannot be recovered.

16.2 By us. Kuhlai may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or otherwise acted in a manner that is harmful to the Service or other Users. Where reasonably possible, we will notify you before or promptly after taking action.

16.3 Effect of termination. Upon termination, your right to use the Service ceases immediately. Kuhlai may retain certain data as required by law or for legitimate business purposes (e.g. fraud prevention, dispute resolution), but will not use it for any other purpose.

17. Dispute Resolution

17.1 These Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-law principles.

17.2 Any dispute arising from or relating to these Terms or your use of the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of Douala, Cameroon.

18. Changes to These Terms

Kuhlai reserves the right to modify these Terms at any time. When changes are made, the "Last updated" date at the top of this page will be revised. Material changes will be communicated through the Service or by email (if you have provided one). Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kuhlai regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
